Prior to these transactions, Mr. Chernett owned, directly or indirectly, or exercised control or direction over, 12,865,291 Shares, which represented approximately 14.91% of the total number of issued and outstanding Shares. As a result of these transactions, Mr. Chernett owns, directly or indirectly, or exercises control or direction over, 18,488,900 Shares, which represents approximately 9.8% of the issued and outstanding Shares.
